Common use of Legal Matters Clause in Contracts

Legal Matters. All certificates, instruments, opinions and other documents required to be executed or delivered by or on behalf of the Seller and the Parent under the provisions of the Transaction Documents, and all other actions and proceedings required to be taken by or on behalf of the Seller and the Parent in furtherance of the transactions contemplated hereby and thereby, shall be reasonably satisfactory in form and substance to counsel for the Buyer.

Legal Matters. All certificates, instruments, opinions and other documents required to be executed or delivered by or on behalf of the Seller and the Parent Purchaser under the provisions of the Transaction Documentsthis Agreement, and all other actions and proceedings required to be taken by or on behalf of the Seller and the Parent Purchaser in furtherance of the transactions contemplated hereby and therebyhereby, shall be reasonably satisfactory in form and substance to counsel for the BuyerSeller.

All certificates, instruments, opinions and other documents required to be executed or delivered by or on behalf of the Seller and the Parent Sellers under the provisions of the Transaction Documents, and all other actions and proceedings required to be taken by or on behalf of the Seller and the Parent Sellers in furtherance of the transactions contemplated hereby and thereby, shall be reasonably satisfactory in form and substance to counsel for the Buyer.

All certificates, instruments, opinions and other documents required to be executed or delivered by or on behalf of the Seller and the Parent Buyer under the provisions of the Transaction Documents, and all other actions and proceedings required to be taken by or on behalf of the Seller and the Parent Buyer in furtherance of the transactions contemplated hereby and thereby, shall be reasonably satisfactory in form and substance to counsel for the BuyerSeller and the Parent.

All certificates, instruments, opinions and other documents required to be executed or delivered by or on behalf of the Seller and the Parent Sellers under the provisions of the Transaction Documentsthis Purchase Agreement, and all other actions and proceedings required to be taken by or on behalf of the Seller and the Parent Sellers in furtherance of the transactions contemplated hereby and therebyhereby, shall be reasonably satisfactory are in form and substance satisfactory to counsel for the BuyerBuyer in its reasonable discretion.

Legal Matters. All certificates, instruments, opinions and other documents required to be executed or delivered by or on behalf of each of the Seller and the Parent Principal under the provisions of the Transaction Documentsthis Agreement, and all other actions and proceedings required to be taken by or on behalf of each of the Seller and the Parent Principal in furtherance of the transactions contemplated hereby and therebyhereby, shall be reasonably satisfactory in form and substance to counsel for the Buyer.

Legal Matters. All certificates, instruments, opinions and other documents required to be executed or delivered by or on behalf of the Seller and the Parent Buyer under the provisions of the Transaction Documents, and all other actions and proceedings required to be taken by or on behalf of the Seller and the Parent Buyer or in furtherance of the transactions contemplated hereby and thereby, shall be reasonably satisfactory in form and substance to counsel for the BuyerSeller.
