Legal Fees; Indemnification; Directors’ & Officers’ Liability Insurance. (a) In the event of any contest or dispute between the Company and the Executive with respect to this Agreement or the Executive’s employment hereunder, each of the parties shall be responsible for its respective legal fees and expenses; provided, that, if the Executive prevails on any material issue in any action, the Company shall reimburse the Executive any reasonable legal fees and expenses incurred; provided, further, that with respect to an action to enforce the terms of the Severance Agreement, section 7 of the Severance Agreement shall govern the reimbursement of legal fees and expenses.
