Leasehold Mortgagee's Right to Transfer. Any Leasehold --------------------------------------- Mortgagee or other acquirer of the Leasehold Estate of Developer pursuant to foreclosure, assignment in lieu of foreclosure or other proceedings may, upon acquiring Developer's Leasehold Estate, without further consent of Landlord, assign the Leasehold Estate one time on such terms and to such persons and organizations as are acceptable to such Mortgagee or acquirer and thereafter be relieved of all obligations under this Lease; provided that such assignee has delivered to Landlord its written agreement to be bound by all of the provisions of this Lease. Any further attempts by the Leasehold Mortgagee to assign shall comply with the provisions of this Lease relating to Assignment.
