LAUSD Approval Sample Clauses

LAUSD Approval. Notice of any actual or proposed assignment, transfer, mortgage, encumbrance, lease or hypothecation of the improvements of the Project, the Campus or this Agreement shall be given by Developer to LAUSD, together with a copy of the proposed documentation thereof (including, in the event of an assignment, the assumption document in which the assignee or proposed assignee agrees to assume all obligations of Developer under this Agreement), with all necessary and appropriate details for LAUSD to provide an approval. Any approval or disapproval by LAUSD under this Article XII is at LAUSD’s reasonable discretion.
