Launch Plan. Each Commercialization Plan shall be ----------- updated, in advance of the launch of the applicable Collaboration Product in the Co-Promotion Territory, to include a launch plan ("Launch Plan") and launch budget ("Launch Budget") for such launch, the period *****, if practicable, before said launch, and the ***** period following the launch date. Each such Launch Plan and Launch Budget shall be developed by ORTHO, after taking into consideration CTI's comments, and presented to the JCC for Launch Plan and Launch Budget review and approval, with ORTHO having the final decision at the JCC as described in Section 2.04. The JCC shall have sixty (60) days to review and approve such Budget. Each calendar year after its preparation, if not yet executed, each Launch Plan and Launch Budget for each Collaboration Product in the Co-Promotion Territory shall be updated by ORTHO and the updated Launch Budget submitted to the JCC for approval. It is understood that determining a date for Regulatory Approval and thus a launch date is difficult. The failure to accurately estimate the launch date shall not constitute a breach hereunder. 42 Each Launch Plan shall include (i) updated market and sales forecasts in units and estimated revenues of Collaboration Product, (ii) estimated resource requirements and (iii) such other matters deemed appropriate by ORTHO.

Launch Plan. Distributor will use its best efforts to market and sell the Software in a manner to maximize the sales potential of the Software. If Distributor has at least [omitted portion submitted for confidential treatment] copies of the Software placed in the Retail Channel in the United States and Canada with retailers which represent not less than 70% of computer software retail sales as determined by PC Data within three months following the Commencement Date (as defined in Section 10.01), the "Launch Plan" will be deemed to have been met, and Distributor will have the rights in Germany described in Section 2.01(b). Distributor acknowledges that EU trade rules prohibit absolute exclusivity, but if the Launch Plan is met, Developer will not appoint any other distributor of the Software in the Retail Channel for Germany.

It is understood that, for Bromocriptine for the Type II Diabetes Indication, because of the shortness of time between NDA filing and the presently anticipated launch date, the Launch Plan & Budget may be in an abbreviated form and submitted to ERGO prior to launch and as soon as it is prepared by ORTHO. Each Launch Plan shall include (i) updated market and sales forecasts in units and estimated revenues of Collaboration Product, (ii) estimated resource requirements and (iii) such other matters deemed appropriate by ORTHO. With respect to Bromocriptine for the Type II Diabetes Indication, ORTHO shall prepare and provide to ERGO within sixty (60) days from the Effective Date, a Commercialization Budget for the six (6) month period following the Effective Date.

Launch Plan. Licensee shall propose, and the Joint Steering Committee shall discuss, modify and approve, a launch plan for each country within the Territory (the “Launch Plan”). The initial draft Launch Plan shall be submitted by Licensee to the Joint Steering Committee on or before the date which is six (6) months from the Effective Date (this period may be changed through mutual discussion by the Parties if this Agreement is amended pursuant to Section 14.9), which may be modified or delayed upon agreement by both Parties. The Launch Plan shall be updated on an annual basis (within twelve (12) months after the last Launch Plan was approved by the Joint Steering Committee) until the Licensed Product has been launched in each country within the Territory.
