Last Chance Clause Samples
The "Last Chance" clause provides a final opportunity for a party to remedy a breach or failure before the other party can take further action, such as terminating the contract or seeking damages. Typically, this clause requires the non-breaching party to give written notice specifying the issue and a set period for the breaching party to correct it. For example, if a supplier fails to deliver goods on time, the buyer must notify the supplier and allow them a final window to fulfill their obligation. This clause ensures fairness by preventing immediate penalties for minor or correctable breaches and encourages resolution before escalation.
