Common use of Knowledge Standard Clause in Contracts

Knowledge Standard. When used in this Agreement, the phrase "to the ------------------ best knowledge of, " "knowledge of, " "known to" or similar phrases shall mean the actual knowledge of: (i) with respect to Xceed, the officers and directors of Xceed; (ii) with respect to the Company, the officers and the Managers; and (iii) with respect to the Interestholders, the actual knowledge of each specific Interestholder.

Knowledge Standard. When used in this Agreement, the phrase "to the ------------------ best knowledge of, " "knowledge of, " "known to" or similar phrases shall mean the actual knowledge of: (i) with respect to Xceed, the officers and directors of Xceed; (ii) with respect to the Company, the officers and directors of the ManagersCompany; and (iii) with respect to the InterestholdersNew Sol, the actual knowledge officers and directors of New Sol; and (iv) each specific InterestholderManagement Stockholder.

When used in this Agreement, the phrase "to the ------------------ best knowledge of, " "knowledge of, " "known to" or similar phrases shall mean the actual knowledge of: (i) with respect to Xceed, the officers and directors of Xceed; (ii) with respect to the Company, the officers and directors of the ManagersCompany; and (iii) each Stockholder, except that with respect to the InterestholdersJupiter Communications, the actual knowledge of each specific InterestholderLLC., officers and directors thereof.
