Common use of Knowledge Standard Clause in Contracts

Knowledge Standard. When used in this Agreement, the phrase "to the ------------------ best knowledge of, " "knowledge of, " "known to" or similar phrases shall mean the actual knowledge of: (i) with respect to Xceed, the officers and directors of Xceed; (ii) with respect to the Company, the officers and Mangers of the Company; and (iii) each Member.

Knowledge Standard. When used in this Agreement, the phrase "to the ------------------ best knowledge of, " "knowledge of, " "known to" or similar phrases shall mean the actual knowledge of: (i) with respect to Xceed, the officers and directors of Xceed; (ii) with respect to the Company, the officers and Mangers directors of the Company; and (iii) each MemberStockholder, except that with respect to Jupiter Communications, LLC., officers and directors thereof.

When used in this Agreement, the phrase "to the ------------------ best knowledge of, " "knowledge of, " "known to" or similar phrases shall mean the actual knowledge of: (i) with respect to Xceed, the officers and directors of Xceed; (ii) with respect to the Company, the officers and Mangers of the CompanyManagers; and (iii) with respect to the Interestholders, the actual knowledge of each Memberspecific Interestholder.
