Common use of Knowledge Standard Clause in Contracts

Knowledge Standard. When used in this Agreement, the phrase "to the ------------------ best knowledge of," "knowledge of," "known to" or similar phrases shall mean the actual knowledge of: (i) with respect to the Seller, the officers and directors of the Seller; (ii) with respect to the Purchaser, the officers and directors of the Purchaser; and (iii) with respect to the Shareholder, ▇▇▇▇▇ ▇▇▇▇▇▇ ▇▇▇▇▇.
