Know-How Reduction Sample Clauses

Know-How Reduction. If, during the Royalty Term for a Product and country, there is no Valid Claim of a CG Patent in such country Covering such Product, Aptose shall pay royalties on Net Sales of such Product in such country at a rate of two percent (2%) of Net Sales of such Product in such country.

Know-How Reduction. During the applicable Royalty Term and on a country-by-country and Product-by- Product basis, the royalty rate for a Product in a country shall be reduced by [*****] of the applicable rate determined pursuant to Section 8.7.1, if such Product is not or no longer Covered by a Valid Claim in such country.

Know-How Reduction. In the event that, during the Royalty Term for any Related Licensed Product and country, no Covering Claim exists for the corresponding Licensed Cell Product in such country, then the royalties payable under Section 4.4(a) on Net Sales of such Licensed Cell Product in such country will be reduced by […***…] for the remainder of such Royalty Term. Such royalty reduction will be calculated by determining the portion of total Net Sales of the relevant Related Licensed Product in a Calendar Quarter that is attributable to the country in which such reduction applies, and by determining the total royalties for the Territory for such Related Licensed Product without reduction, and then reducing by […***…] the applicable portion (based on Net Sales) of such total royalties attributable to the country in which such reduction applies.

Know-How Reduction. If, and for so long as, during the Royalty Term for a given Licensed Product in a jurisdiction in the Territory, there is both (i) no Valid Claim that claims or covers such Licensed Product or its method of use, and (ii) no Regulatory Exclusivity covering such Licensed Product, the royalty rate set forth in Section 8.4.1 with respect to such jurisdiction, shall be reduced to of the royalty rate set forth in Section 8.4.1 solely with respect to Net Sales of such Licensed Product in such jurisdiction.

Know-How Reduction. During the Royalty Term for a given Licensed Product in a given country, (a) upon the expiration of the last Valid Claim of a Licensed Patent Covering such Licensed Product in such country and the Regulatory Exclusivity Period for such Licensed Product has not expired in such country, the applicable royalty rates set forth in Section 8.4.1 shall be reduced by [***] and (b) upon the expiration of the last Valid Claim of a Licensed Patent Covering such Licensed Product in such country and the Regulatory Exclusivity Period for such Licensed Product has expired in such country, the applicable royalty rates set forth in Section 8.4.1 shall be reduced by [***], for such Licensed Product in such country for the remainder of such Royalty Term.
