KM Database Sample Clauses

The KM Database clause establishes the requirements and protocols for maintaining a knowledge management (KM) database within the context of the agreement. Typically, this clause outlines the types of information to be stored, such as project documentation, best practices, or lessons learned, and may specify access rights, update responsibilities, and confidentiality measures. Its core practical function is to ensure that valuable organizational knowledge is systematically captured, organized, and made accessible, thereby promoting efficiency, continuity, and informed decision-making throughout the duration of the contract.
KM Database. The “KM Database” refers to T-Mobile’s then-current knowledge management database, to be accessed by the Chat Agents on-line; as of the SOW Effective Date, this shall either be T-Mobile’s “Streamline” service or “T-Community” service, as separately indicated by T-Mobile; the KM Database shall be updated by T-Mobile from time-to-time, and alternative or additional knowledge management databases may be specified by T-Mobile from time-to-time at its sole discretion. KM Updates posted to the KM Database by the Provider shall constitute New Intellectual Property. For purposes of this Chat Services Statement of Work, the Specifications will be deemed to include those set forth in the KM Database. For the avoidance of doubt, Provider’s representations, warranties, and covenants of non-infringement under Section 8.12 (Non-Infringement) of the Agreement shall include non-infringement of third party intellectual property rights by any KM Updates.
