Jurisdiction and Service of Process. Any legal action or proceeding with respect to this Agreement may be brought in the courts of The Commonwealth of Massachusetts or of the United States of America for the District of Massachusetts. By execution and delivery of this Agreement, each of the parties hereto accepts for itself and in respect of its property, generally and unconditionally, the jurisdiction of the aforesaid courts. The parties hereby irrevocably waive any objection or defense that they may now or hereafter have to the assertion of personal jurisdiction by any such court in any such action or to the laying of the venue of any such action in any such court, and hereby waive, to the extent not prohibited by law, and agree not to assert, by way of motion, as a defense, or otherwise, in any such proceeding, any claim that it is not subject to the jurisdiction of the above-named courts for such proceedings. Jurisdiction and Service of Process. Any legal suit, action or proceeding against any Party to enforce a decision made by the arbitrators selected in accordance with Section 10.7(b) or to enforce the obligations of any Party to resolve disputes pursuant to the arbitration procedure set forth in Section 10.7 shall be brought in state court in the State of Illinois, or in the United States District Court for the Northern District of Illinois, and each Party hereby irrevocably waives, to the fullest extent permitted by law, any objection that such Party may have, whether now or in the future, to the laying of venue in or to the jurisdiction of, any and each of such courts for the purpose of any such suit, action or proceeding and further waives any claim that any such suit, action or proceeding has been brought in an inconvenient forum, and each Party hereby submits to such jurisdiction. Each of the D-M Xxxreholders hereby further irrevocably consents to the service of process in any suit, action or proceeding with respect to this Agreement may be brought in the courts of The Commonwealth of Massachusetts or of the United States of America for the District of Massachusetts. By execution and delivery of this Agreement, each of the parties hereto accepts for itself and in respect of its property, generally and unconditionally, the jurisdiction of the aforesaid courts. The parties hereby irrevocably waive any objection or defense that they may now or hereafter have to the assertion of personal jurisdiction by any such court in any such action or to the laying of the venue of any such action in any such court, and hereby waive, to the extent not prohibited by law, and agree not to assert, by way of motion, as a defense, or otherwise, in any such proceeding, any claim that it is not subject to the jurisdiction of the above-named courts for such proceedings. Each of the parties hereto irrevocably consents to the service of process of any of the aforementioned courts in any such action or proceeding by the mailing of copies thereof by Penton or Pittway by registered or certified mail, postage charges prepaid, to such D-M Xxxreholder at the party at its then current address set forth in for notices to such D-M Xxxreholder pursuant to Section 11.01 hereof and irrevocably waive any objection or defense that it may now or hereafter have to the sufficiency of any such service of process 10.4.
