Common use of Judgments Binding Clause in Contracts

Judgments Binding. If claim is ever made upon any Creditor or any subsequent holder of a Note of any Borrower for repayment or recovery of any amount or amounts received in payment or on account of any of the Guaranteed Obligations and any of the aforesaid payees repays all or part of said amount by reason of (a) any judgment, decree or order of any court or administrative body having jurisdiction over such payee or any of its property, or (b) any settlement or compromise of any such claim effected by such payee with any such claimant, then and in such event each Guarantor agrees that any such judgment, decree, order, settlement or compromise shall be binding upon each Guarantor, notwithstanding any revocation hereof or the cancellation of any Note or other instrument evidencing any liability of any Borrower, and each Guarantor shall be and remain liable to the aforesaid payees hereunder for the amount so repaid or recovered to the same extent as if such amount had never originally been received by any such payee.

ARTICLE X MISCELLANEOUS Section 10.01.

If claim is ever made upon any Creditor or any subsequent holder of a Note of any Borrower the Issuer for repayment or recovery of any amount or amounts received in payment or on account of any of the Guaranteed Obligations and any of the aforesaid payees repays all or part of said amount by reason of (a) any judgment, decree or order of any court or administrative body having jurisdiction over such payee or any of its property, or (b) any settlement or compromise of any such claim effected by such payee with any such claimant, then and in such event each Guarantor agrees that any such judgment, decree, order, settlement or compromise shall be binding upon each Guarantor, notwithstanding any revocation hereof or the cancellation of any Note or other instrument evidencing any liability of any Borrowerthe Issuer, and each Guarantor shall be and remain liable to the aforesaid payees hereunder for the amount so repaid so repaid or recovered to the same extent as if such amount had never originally been received by any such payee.

Judgments Binding. If claim is ever made upon any Creditor or Bank, any ----------------- subsequent holder of a Note or issuer of, or participant in, any Letter of any Borrower Credit for repayment or recovery of any amount or amounts received in payment or on account of any of the Guaranteed Obligations indebtedness and any of the aforesaid payees repays all or part of said amount by reason of (a) any judgment, decree or order of any court or administrative body having jurisdiction over such payee or any of its property, or (b) any settlement or compromise of any such claim effected by such payee with any such claimant, claimant (including the Borrower) then and in such event each Guarantor Holdings agrees that any such judgment, decree, order, settlement or compromise shall be binding upon each GuarantorHoldings, notwithstanding any revocation hereof or the cancellation can cellation of any Note Note, or other instrument evidencing any liability of any the Borrower, and each Guarantor Holdings shall be and remain liable to the aforesaid payees hereunder for the amount so repaid or recovered to the same extent as if such amount had never originally been received by any such payee.

Judgments Binding. If claim is ever made upon any Guaranteed Creditor or any subsequent holder of a Note of any Borrower for repayment or recovery of any amount or amounts received in payment or on account of any of the indebtedness and such Guaranteed Obligations and any of the aforesaid payees Creditor repays all or part of said amount by reason of (a) any judgment, decree or order of any court or administrative body having jurisdiction over such payee or any of its property, or (b) any settlement or compromise of any such claim effected by such payee Guaranteed Creditor with any such claimant, claimant (including any Borrower) then and in such event each Guarantor Holdings agrees that any such judgment, decree, order, settlement or compromise shall be binding upon each GuarantorHoldings, notwithstanding any revocation hereof or the cancellation of any Note Note, or other instrument evidencing any liability of any Borrower, and each Guarantor Holdings shall be and remain liable to the aforesaid payees Guaranteed Creditors hereunder for the amount so repaid or recovered to the same extent as if such amount had never originally been received by any such payee.

Judgments Binding. If claim is ever made upon any Guaranteed Creditor or any subsequent holder of a Note of any Borrower for repayment or recovery of any amount or amounts received in payment or on account of any of the indebtedness and such Guaranteed Obligations and any of the aforesaid payees Creditor repays all or part of said amount by reason of (a) any judgment, decree or order of any court or administrative body having jurisdiction over such payee or any of its property, or (b) any settlement or compromise of any such claim effected by such payee Guaranteed Creditor with any such claimant, claimant (including the Borrower) then and in such event each Guarantor of Holdings and the Parent agrees that any such judgment, decree, order, settlement or compromise shall be binding upon each GuarantorHoldings and the Parent, notwithstanding any revocation hereof or the cancellation of any Note Note, or other instrument evidencing any liability of any the Borrower, and each Guarantor Holdings and the Parent shall be and remain liable to the aforesaid payees Guaranteed Creditors hereunder for the amount so repaid or recovered to the same extent as if such amount had never originally been received by any such payee.

Judgments Binding. If claim is ever made upon any Creditor Lender or any subsequent holder of a Note of any Borrower for repayment or recovery of any amount or amounts received in payment or on account of any of the Guaranteed Obligations and any of the aforesaid payees repays all or part of said amount by reason of (a) any judgment, decree or order of any court or administrative body having jurisdiction over such payee or any of its property, or (b) any settlement or compromise of any such claim effected by such payee with any such claimant, claimant (including Borrower) then and in such event each Guarantor agrees that any such judgment, decree, order, settlement or compromise shall be binding upon each Guarantor, notwithstanding any revocation hereof or the cancellation of any Note or other instrument evidencing any liability of any Borrower, and each Guarantor shall be and remain liable to the aforesaid payees hereunder for the amount so repaid or recovered to the same extent as if such amount had never originally been received by any such payee.

Judgments Binding. If claim is ever made upon any Guaranteed Creditor or any subsequent holder of a Note of any Borrower for repayment or recovery of any amount or amounts received in payment or on account of any of the indebtedness and such Guaranteed Obligations and any of the aforesaid payees Creditor repays all or part of said amount by reason of (a) any judgment, decree or order of any court or administrative body having jurisdiction over such payee or any of its property, or (b) any settlement or compromise of any such claim effected by such payee Guaranteed Creditor with any such claimant, claimant (including the Borrowers) then and in such event each Guarantor GWR agrees that any such judgment, decree, order, settlement or compromise shall be binding upon each GuarantorGWR, notwithstanding any revocation hereof or the cancellation of any Note Note, or other instrument evidencing any liability of any Borrowerthe Borrowers, and each Guarantor GWR shall be and remain liable to the aforesaid payees Guaranteed Creditors hereunder for the amount so repaid or recovered to the same extent as if such amount had never originally been received by any such payee.

Judgments Binding. If claim is ever made upon any Creditor or the Purchaser, any subsequent holder of a Note of any Borrower for repayment or recovery of any amount or amounts received in payment or on account of any of the Guaranteed Obligations and any of the aforesaid payees repays all or part of said amount by reason of (a) any judgment, decree or order of any court or administrative body having jurisdiction over such payee or any of its property, or (b) any settlement or compromise of any such claim effected by such payee with any such claimant, claimant (including the Companies) then and in such event each Guarantor the Subsidiary Guarantors agrees that any such judgment, decree, order, settlement or compromise shall be binding upon each Guarantor, the Subsidiary Guarantors notwithstanding any revocation hereof or the cancellation of any Note Note, or other instrument evidencing any liability of any Borrowerthe Companies, and each Guarantor the Subsidiary Guarantors shall be and remain liable to the aforesaid payees hereunder for the amount so repaid or recovered to the same extent as if such amount had never originally been received by any such payee.

Judgments Binding. If claim is ever made upon any Creditor Lender or ----------------- any subsequent holder of a Note of any Borrower for repayment or recovery of any amount or amounts received in payment or on account of any of the Guaranteed Obligations indebtedness and any of the aforesaid payees repays all or part of said amount by reason of (a) any judgment, decree or order of any court or administrative body having jurisdiction over such payee or any of its property, or (b) any settlement or compromise of any such claim effected by such payee with any such claimant, claimant (including the Borrower) then and in such event each Guarantor Holdings agrees that any such judgment, decree, order, settlement or compromise shall be binding upon each GuarantorHoldings, notwithstanding any revocation hereof or the cancellation of any Note Note, or other instrument evidencing any liability of any the Borrower, and each Guarantor Holdings shall be and remain liable to the aforesaid payees hereunder for the amount so repaid or recovered to the same extent as if such amount had never originally been received by any such payee.
