Except as set forth in Schedule 3.5, there are no outstanding judgments, actions (including, without limitation, derivative actions), suits or proceedings pending before any court or governmental authority, bureau or agency, having a claim or amount in controversy that exceeds $10,000 in any one instance or $50,000 in the aggregate at any one time with respect to or, to the best of the Borrower's knowledge, threatened against or affecting Sequana.
