Joinder of UWN. UWN joins in the execution of this Agreement for the purposes of: (i) evidencing its consent to the terms, covenants, provisions and conditions herein contained; (ii) evidencing its agreement to issue the UWN Seller Shares as a part of the Purchase Price as provided in Section 3.1; and (iii) evidencing its agreement to and does hereby guaranty the full and prompt payment and performance of all promises, obligations, covenants, representations and warranties of the Buyer as herein contained, as contained in the Closing Documentation and under the Adjacent Site Lease.
