Common use of Joinder of Guarantors Clause in Contracts

Joinder of Guarantors. Any Subsidiary of any Loan Party which is required to join this Agreement as a Guarantor pursuant to Section 7.2.5 [Subsidiaries, Partnerships and Joint Ventures] and which has not yet done so shall execute and deliver to the Administrative Agent (i) a Guarantor Joinder in substantially the form attached hereto as Exhibit 1.1(G)(1) pursuant to which it shall join as a Guarantor each of the documents to which the Guarantors are parties; and (ii) documents in the forms described in Section 6.1 [First Loans and Letters of Credit] modified as appropriate to relate to such Subsidiary. The Loan Parties shall deliver such Guarantor Joinder and related documents to the Administrative Agent within thirty (30) Business Days after the date of (a) the filing of such Subsidiary’s articles of incorporation if the Subsidiary is a corporation, (b) the filing of its certificate of limited partnership if it is a limited partnership or (c) if it is an entity other than a limited partnership or corporation, its organization.

Any Subsidiary of any Loan Party the Borrower which is required to join this Agreement as a Guarantor pursuant to Section 7.2.5 7.02(h) [Subsidiaries, Partnerships and Joint Ventures] and which has not yet done so shall execute and deliver to the Administrative Agent (i) a Guarantor Joinder in substantially the form attached hereto as Exhibit 1.1(G)(11.01(G)(1) pursuant to which it shall join as a Guarantor each of the documents to which the Guarantors are parties; and (ii) documents in the forms described in Section 6.1 6.01 [First Loans and Letters of CreditLoans] modified as appropriate to relate to such Subsidiary. The Loan Parties shall deliver such Guarantor Joinder and related documents to the Administrative Agent within thirty five (305) Business Days after the date of (a) the filing of such Subsidiary’s 's articles of incorporation if the Subsidiary is a corporation, (b) the date of the filing of its certificate of limited partnership if it is a limited partnership or (c) the date of its organization if it is an entity other than a limited partnership or corporation, its organization.. The Loan Parties shall deliver such Guarantor Joinder and related documents to the Administrative Paying Agent within thirty twenty (3020) Business Days calendar days after (i) if such Subsidiary is newly formed, the date of (a) the filing of such Subsidiary’s articles of incorporation if the Subsidiary is a corporation, (b) the date of the filing of its certificate of limited partnership if it is a limited partnership partnership, or (c) the date of its organization if it is an entity other than a limited partnership or corporationcorporation or (ii) if such Subsidiary is an existing Person newly acquired pursuant to a Permitted Acquisition, its organizationthe date of the closing of the transaction constituting such Permitted Acquisition.
