Issued Common Stock. The EESI Stock to be issued pursuant to ------------------- this Agreement has been duly authorized and, when issued, will be validly issued, fully paid and nonassessable. At Closing, the EESI Stock shall be registered pursuant to a "shelf registration" on Form S-4 or other appropriate form if Form S-4 is not available under Rule 415 of the Act.
