The 'ISSUE MATERIALS' clause defines the obligations and procedures for providing necessary documents, information, or materials relevant to the agreement. ISSUE MATERIALS. All materials, including any Artwork or Documentation (together with any modifications, alterations, adaptations or changes to the Artwork and the Documentation) (“Materials”) made available by Company to the Supplier in connection with the Contract shall be and remain the property of Company but shall be at the risk of the Supplier until delivery and acceptance of the Goods, performance and acceptance of the Services or the return of the Materials whichever shall be the later. The Supplier shall: keep the Materials in good order and condition and be responsible for any loss thereof or damage thereto; use the Materials only for the purpose of the Contract; return the Materials not required for use “carriage paid”, to Company at Company’s request or, if no request is made, upon completion of the Contract.
ISSUE MATERIALS. Any free-issue materials delivered to Supplier for the execution of an order has to be checked by Supplier immediately upon receipt with respect to their quality, completeness and functionality. Any deviations must be reported to us in writing within 3 (three) working days upon receipt. As soon as any such free-issue materials have been received by Supplier, he becomes responsible for any damages and losses. Supplier has to handle and store the materials put at his disposal with the necessary care and insure them, at his own expense, against elementary damages and theft. Upon our request, Supplier must provide copy of the corresponding insurance policy. Any scrap resulting from inadequate treatment and improper handling is at Supplier's charge. On the 25th day of each month or on the preceding last working day, Supplier will forward to us, either in electronic form or by fax, an inventory of all free-issue materials stored in his facility. From machining resulting surplus material, punched sections and leftovers of material provided by the Buyer, shall remain the property of Mapei Suisse SA. These scraps must be kept and weighed separately and will be taken back or charged to the supplier at market prices.
ISSUE MATERIALS. 29.1 Where UOW for the purposes of the Contract issues materials "Free of Charge" to Seller, such materials shall be and remain the property of UOW. Seller shall maintain all such materials in good order and condition, subject, in the case of tooling, patterns and the like to fair wear and tear, Seller shall use such materials solely in connection with the Contract. Any surplus materials shall be disposed of at UOW's discretion. Waste of such materials arising from bad workmanship or negligence of Seller shall be made good at Seller's expense.
ISSUE MATERIALS. 11.1 Any material, software, equipment, tools objects, documents and auxiliary resources: (i) provided by the Buyer to the Supplier; or (ii) purchased or manufactured by the Supplier in connection with this Contract and paid for by the Buyer shall be considered ("Free Issue Materials").

  • Course Materials The adoption of any course materials, print or electronic, after a Course Agreement is signed will require an agreed and signed addendum.

  • Instructional Materials A. The Board recognizes that appropriate texts, library reference facilities, maps and globes, laboratory equipment, audio-visual equipment, art supplies, athletic equipment, current periodicals, standard tests and questionnaires, computers, and similar materials are the tools of the teaching profession. B. Efforts shall be continued to seek and use instructional materials which reflect the contribution and presence of diverse ethnic and cultural groups. C. 1. Selection of instructional materials for each school shall be made by a committee of teachers chosen by the faculty within that school.

  • Stored Materials Upon prior written agreement between the Contractor and Region 4 ESC, payment may be made for materials not incorporated in the work but delivered and suitably stored at the site or some other location, for installation at a later date. An inventory of the stored materials must be provided to Region 4 ESC prior to payment. Such materials must be stored and protected in a secure location and be insured for their full value by the Contractor against loss and damage. Contractor agrees to provide proof of coverage and additionally insured upon request. Additionally, if stored offsite, the materials must also be clearly identified as property of Region 4 ESC and be separated from other materials. Region 4 ESC must be allowed reasonable opportunity to inspect and take inventory of stored materials, on or offsite, as necessary. Until final acceptance by Region 4 ESC, it shall be the Contractor's responsibility to protect all materials and equipment. Contractor warrants and guarantees that title for all work, materials and equipment shall pass to Region 4 ESC upon final acceptance.

  • Customer Materials Subject to Section 4(a), all right, title and interest (including all Intellectual Property Rights) in and to the Customer Materials are owned by Customer or Customer’s suppliers.
