Issuance of the Common Securities; Subscription and Purchase of Debentures. Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 5.2 and deliver to the Depositor Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of Common Securities having an aggregate Liquidation Amount of $ against payment by the Depositor of such amount. Contemporaneously therewith, an Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Trust and having an aggregate principal amount equal to $ , and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $ . If there is a Second Time of Delivery, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 5.2 and deliver to the Depositor Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of up to Common Securities having an aggregate Liquidation Amount of up to $ against payment by the Depositor of such amount. Issuance of the Common Securities; Subscription and Purchase of Debentures. Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Issuer Trust, shall execute in accordance with Section Sections 5.2 and 5.3, and the Property Trustee shall deliver to the Depositor Depositor, Common Securities Certificates, Certificates registered in the name of the Depositor, in evidencing an aggregate amount of 92,784 Common Securities having an aggregate Liquidation Amount of $ $2,319,600, against payment receipt of the aggregate purchase price of such Common Securities of $2,319,600 (plus accrued Distributions, if any) by the Depositor of such amountProperty Trustee. Contemporaneously therewith, an Administrative Trustee, on behalf of the Depositor shall issue and sell to the Issuer Trust, and the Issuer Trust shall subscribe to and purchase from the Depositor DebenturesDepositor, registered in the name of the Trust and Debentures having an aggregate principal amount equal to $ , $77,319,600 registered in the name of the Property Trustee on behalf of the Issuer Trust and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Issuer Trust, shall deliver to the Depositor the sum of $ $77,319,600 (plus accrued Distributions, if any) (being the sum of the amounts delivered to the Property Trustee pursuant to (i) the second sentence of Section 2.4, and (ii) the first sentence of this Section 2.5). If there is a Second Time the Underwriters purchase any Optional Securities in accordance with Section 1(a) of Deliverythe Underwriting Agreement, an Administrative Trustee, on behalf of the Issuer Trust, shall execute in accordance with Section Sections 5.2 and 5.3, and the Property Trustee shall deliver to the Depositor Depositor, Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of up to evidencing Common Securities having an aggregate Liquidation Amount of up to $ $347,940, against payment receipt of the aggregate purchase price therefor by the Depositor of such amountProperty Trustee. Contemporaneously therewith, an Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Trust and having an aggregate principal amount of up to $ $11,597,940, and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the aggregate amount received by the Administrative Trustees pursuant to the immediately preceding sentence and it pursuant to the last sentence of Section 2.42.4 and the third sentence of this Section 2.5.

Issuance of the Common Securities; Subscription and Purchase of Debentures. Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 5.2 and deliver to the Depositor Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of 400 Common Securities having an aggregate Liquidation Amount of $ $10,000 against payment by the Depositor of an aggregate purchase price of $10,000 plus accrued distributions from December 12, 2007, if any, on such amountCommon Securities, which amount such Administrative Trustee shall promptly deliver to the Property Trustee. Contemporaneously therewith, an Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Trust and having an aggregate principal amount equal to $ $125,010,000, and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $ $125,010,000 (being the sum of the amounts delivered to the Property Trustee pursuant to (i) the second sentence of Section 2.4 and (ii) the first sentence of this Section 2.5) plus accrued interest from December 12, 2007, if any. If there is a Second Time In connection with any subsequent issuance of DeliveryCapital Securities as set forth in the third sentence of Section 2.4, an Administrative Trustee, on behalf of the Trust, shall execute in accordance contemporaneously with Section 5.2 and deliver to the Depositor Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of up to Common Securities having an aggregate Liquidation Amount of up to $ against payment by the Depositor of any such amount. Contemporaneously therewith, an Administrative Trustee, on behalf of the Trustadditional issuance, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Trust and Trust, having an aggregate principal amount of up to $ , and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver equal to the Depositor the aggregate amount received Liquidation Amount of Capital Securities being issued by the Administrative Trustees Trust pursuant to the immediately preceding sentence and pursuant to the last third sentence of Section 2.42.4 against payment of a purchase price equal to the aggregate purchase prices of the Capital Securities being so issued.

Contemporaneously therewith, an Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Trust and having an aggregate principal amount equal to $ $6,186,000, and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $ $6,186,000. If there is a Second Time of Delivery, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 5.2 and deliver to the Depositor Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of up to Common Securities having an aggregate Liquidation Amount of up to $ $927,850 against payment by the Depositor of such amount.
