Issuance of Common Shares, Warrants and Warrant Shares. The Holders hereby consent to the issuance of the Common Shares, Warrants and Warrant Shares pursuant to the terms set forth in the Warrants, Subscription Agreement and Purchase Agreement. The Holders further agree to take any and all actions reasonably necessary to evidence and effect such consent, including, but not limited to, executing any necessary shareholder consents or proxies and voting all voting securities of the Company then held by such Holder at any shareholder meeting in favor of approving the aforementioned issuances.
