ISO/MSP Sample Clauses
ISO/MSP. Merchant understands and agrees that other than Vantiv Payments, Inc., any independent sales organization or member service provider (each, an “ISO/MSP”) that solicits or provides services to Merchant is an independent contractor and is not an agent of Bank. Any ISO/MSP must comply with the Operating Regulations. Merchant must notify Bank of its use of any agent that will have access to cardholder data. No ISO/MSP has any authority to (i) make representations on behalf of Bank; (ii) bind Bank or (iii) execute this Agreement or alter its terms. Bank is not responsible or liable for the acts or omissions of the ISO/MSP.
ISO/MSP. Client acknowledges that MENTOM is an independent sales organization/member service provider operating under applicable Acquiring Bank rules and regulations and is an independent contractor and not an agent of the Acquiring Bank. Further, Client acknowledges that MENTOM is not and shall not be responsible, either directly or indirectly, for any act or failure to act of any bank or any agent of any bank in the processing of and providing for the payment of charges created by Cardholders as set forth in this Agreement.
