Isis Know-How Sample Clauses

The "Isis Know-How" clause defines and protects the proprietary knowledge, techniques, and expertise developed or owned by Isis. This clause typically clarifies what constitutes Isis's confidential or specialized information, such as technical processes, data, or methods, and may outline restrictions on its use or disclosure by other parties. Its core function is to safeguard Isis's intellectual property and ensure that valuable know-how is not misused or improperly shared, thereby preserving competitive advantage and legal rights.
Isis Know-How. All Isis Know-How in Isis’ possession that has not previously been provided hereunder, for use solely in accordance with the licenses granted under Section 4.1.1 and Section 10.4.1(b), including transferring the IND for the applicable Development Candidate to Biogen Idec together with all regulatory documentation (including drafts) related to the applicable Development Candidate. To assist with the transfer of such Isis Know-How, Isis will make its personnel reasonably available to Biogen Idec during normal business hours for up to [***] ([***]) of Isis’ time for each Collaboration Program to transfer such Isis Know-How under this Section 4.5.1. Thereafter, if requested by Biogen Idec, Isis will provide Biogen Idec with a reasonable level of assistance in connection with such transfer, which Biogen Idec will reimburse Isis for its time incurred in providing such assistance at the then-applicable Isis FTE Rate, plus any reasonable out-of-pocket expenses incurred by Isis in providing such assistance.
Isis Know-How. In accordance with the Transition Plan, Isis will transfer all Know-How in Isis’ possession related to the Products that has not previously been provided hereunder, for use solely in accordance with the licenses granted under Section 4.1 and Section 4.1.2, including all Know-How related to the Products, provide copies of all Regulatory Documentation (including drafts) related the Products and transfer all INDs for the Products pursuant to the Regulatory plan. Akcea will reimburse Isis for the use of Isis’ personnel and Isis’ direct costs necessary to complete this transfer of Isis Know-How.
