Common use of Invention Ownership Clause in Contracts

Invention Ownership. Each Party will own all right, title, and interest in and to all Inventions that are made by or on behalf of such Party, solely or independent of the other Party, and all intellectual property rights related thereto (including in the case of GSK, GSK Inventions), and any Invention that is jointly made will be owned jointly by the Parties (each a “Joint Invention”). Inventorship will be determined according to United States Patent Law (without reference to any conflict of law principles).

Each 7.1.1 As between the Parties, each Party will own all right, title, and interest in and to all Inventions inventions that are made conceived solely by or on behalf of such Party, solely or independent of the other Party, and all intellectual property rights related thereto (including in the case course of GSK, GSK Inventions), such Party’s and any Invention that is jointly made will be owned jointly by the Parties its Affiliates’ performance of its activities under this Agreement (each a “Joint Sole Invention”). Inventorship will be determined according to United States Patent Law (without reference to any conflict of law principles), and all Patents claiming or covering such Sole Invention.
