Any provision of this Agreement which may be determined by competent authority to be is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective only to the extent of such prohibition or unenforceability without invalidating the remainder of such provision or the remaining provisions hereof, and any such prohibition hereof or unenforceability in any jurisdiction shall not invalidate thereof or render unenforceable affecting the validity or enforceability of such provision in any other jurisdiction. In such casethe event that any provision is held to be so prohibited or unenforceable in any jurisdiction, the parties hereto shall negotiate in good faith modify or substitute to amend such provision consistent with to preserve the original intent of the partiesthereof in such jurisdiction.
