Common use of Invalidation Clause in Contracts

Invalidation. Should any Article, Section or portion thereof, of this Agreement be held unlawful and unenforceable by any Court of competent jurisdiction, such decision of the Court shall only apply to the specific Article, Section, or portion thereof directly specified in the decision; provided, however, that upon such decision the parties agree, as soon as practical, to negotiate substitute language for the invalidated Article, Section, or portion thereof.
