Reference is made to the Credit Agreement (Amended and Restated), dated as of June 30, 1994, as amended and restated as of June 30, 1997 (as amended to date, the "Credit Agreement"), by and among the Borrower, the Lenders listed on the signature pages hereof (collectively, the "Lenders") and the Agent. Capitalized terms used herein and not otherwise defined herein shall have the meanings ascribed to such terms in the Credit Agreement.
