Internal Controls; Disclosure Controls and Procedures. Not later than December 31, 2009, the Borrower and its Subsidiaries shall make all necessary adjustments and improvements in their systems of internal controls and disclosure controls and procedures such that the representation and warranty made in Section 3.01(e) above is true and accurate without giving affect to the qualifying exception appearing at the beginning of Section 3.01(e) above.
