Interim Services Agreement. Effective on or before the Distribution Date, ATI and Teledyne Technologies shall enter into an agreement relating to the coordination of and payment for interim services to be provided by ATI regarding the establishment and administration of the Teledyne Technologies Plans (the "Interim Services Agreement"). The provisions of the Interim Services Agreement shall be incorporated by reference in this Agreement and shall become a part of this Agreement.
Interim Services Agreement. Effective on or before the Distribution Date, ATI and Water Pik shall enter into an agreement relating to the coordination of and payment for transition services to be provided by ATI regarding the establishment and administration of the Water Pik Plans (the "Interim Services Agreement"). The provisions of the Interim Services Agreement shall be incorporated by reference in this Agreement and shall become a part of this Agreement.
Interim Services Agreement. To the extent any Service or Expense Activity is provided hereunder by an Affiliate of Merck to an Affiliate of Organon within the same country, any applicable Service Fee or Expenses will be invoiced and payable in accordance with the applicable local Interim Services Agreement. Following the Effective Date, local Interim Services Agreements will remain effective only for invoicing such Service Fees or Expenses and any other terms and conditions in this Agreement supersede those in any local Interim Services Agreement.
Interim Services Agreement. As promptly as practicable but in any event within 30 days of the date of this Agreement, Buyer and Sithe shall negotiate in good faith and use reasonable efforts to enter into an Interim Services Agreement with respect to the services and on the terms and conditions described in Schedule 1C; provided that the execution and 91 99 delivery of the Interim Services Agreement shall not be a condition to the performance by any party of any of such party's obligations under this Agreement.

Interim Services Agreement. In connection with the Intercompany Reorganization the Company and VRM shall enter into an Interim Services Agreement in form and substance substantially the same as the Interim Services Agreement attached hereto as Annex A. 2.9.
Interim Services Agreement. The Seller and -------------------------- MidCon shall terminate the Services Agreement effective as of the Closing with amounts due thereunder accrued up to the Closing as provided in Section 5.1.2(b). The Seller and the Buyer shall negotiate to the extent desired by the Buyer an interim services agreement by and between the Seller and MidCon for the continuation of any of the services provided by the Seller to MidCon under the Service Agreement upon terms and conditions which must be mutually acceptable to the Seller and to the Buyer, in their respective sole discretion.
Interim Services Agreement. At the Closing Time, Purchaser and Seller shall enter into an Interim Services Agreement. Seller and Purchaser agrees to use, and to cause their respective Affiliates to use, their reasonable best efforts to cause, and to cooperate in good faith and in accordance with the terms of the Interim Services Agreement in connection with, the conversion of Acquired Assets of Seller to Purchaser's trust system (the "Conversion", with the term "Converted" having the correlative meaning) for each Person who is a Client as of the Closing Date and who has not given (or been given) a notice of termination.
Interim Services Agreement. At the Closing, Seller or an Affiliate of Seller and Purchaser shall enter into a transitional administrative services agreement substantially in the form attached hereto as Exhibit I (the "INTERIM SERVICES AGREEMENT").
