Common use of Intercreditor Acknowledgement Clause in Contracts

Intercreditor Acknowledgement. In accordance with Section 3.4(c)(i) of the Intercreditor Agreement, the 2018 Replacement Lenders hereby notify the ABL Facility Security Agent and the ABL Facility Secured Parties (each as defined in the Intercreditor Agreement) that the Original Replaced Term Loans shall be Refinanced (as defined in the Intercreditor Agreement) pursuant to this Second Amendment and the Credit Agreement (as modified hereby), and hereby (i) acknowledge and agree to the terms of the Intercreditor Agreement and (ii) agree to be bound by all terms and conditions of the Intercreditor Agreement as a “Term Loan Secured Party”. The 2018 Replacement Lenders hereby authorize the Administrative Agent to provide on its behalf any notice to the ABL Facility Security Agent and the ABL Facility Secured Parties (each as defined in the Intercreditor Agreement) as it may deem necessary or advisable (in its sole discretion) to ensure compliance with Section 3.4(c)(i) of the Intercreditor Agreement.

The 2018 2013 Replacement Lenders hereby authorize the Administrative Agent to provide on its behalf any notice to the ABL Revolving Facility Security Agent and the ABL Revolving Facility Secured Parties (each as defined in the Intercreditor Agreement) as it may deem necessary or advisable (in its sole discretion) to ensure compliance with Section 3.4(c)(i) of the Intercreditor Agreement.

In accordance with Section 3.4(c)(i) 5.3 of the Intercreditor Agreement, the 2018 Replacement 2015 Refinancing Lenders hereby notify the ABL Facility Security Agent and the ABL Facility Secured Parties Claimholders (each as defined in the Intercreditor Agreement) that the Original Replaced 2015 Refinanced Term Loans shall be Refinanced (as defined in the Intercreditor Agreement) pursuant to this Second First Amendment and the Credit Agreement (as modified hereby), and hereby (i) acknowledge and agree to the terms of the Intercreditor Agreement and (ii) agree to be bound by all terms and conditions of the Intercreditor Agreement as a “"Term Loan Secured Party”Claimholder". The 2018 Replacement 2015 Refinancing Lenders hereby authorize the Administrative Agent to provide on its behalf any notice to the ABL Facility Security Agent and the ABL Facility Secured Parties Claimholders (each as defined in the Intercreditor Agreement) as it may deem necessary or advisable (in its sole discretion) to ensure compliance with Section 3.4(c)(i) 5.3 of the Intercreditor Agreement.

The 2018 2014 Replacement Lenders hereby authorize the Administrative Agent to provide on its behalf any notice to the ABL Revolving Facility Security Agent and the ABL Revolving Facility Secured Parties (each as defined in the Intercreditor Agreement) as it may deem necessary or advisable (in its sole discretion) to ensure compliance with Section 3.4(c)(i) of the Intercreditor Agreement.
