Intercorporate Indebtedness. There is no intercorporate indebtedness existing between the Company and KHC or any of its Affiliates that was issued, acquired or will be settled at a discount. The Company acknowledges that KHC will not assume any liabilities of the Company or any Company Shareholder in connection with the Merger.
