Intended U. S. Tax Treatment. for U.S. federal income tax purposes, it is intended that the the Share Exchange, taken together with the Merger, the issuance of TopCo Common Shares to the Lenders pursuant to the Convertible Loan and, if applicable, the PIPE Financing, constitute an integrated transaction that qualifies under Section 351(a) of the Code.
