Common use of Integration/Conflicts Clause in Contracts

Integration/Conflicts. This Agreement, the First Lien Documents and the Second Lien Documents represent the entire agreement of the Grantors, the First Lien Secured Parties and the Second Lien Secured Parties with respect to the subject matter hereof and thereof, and supersede any and all previous agreements and understandings, oral or written, relating to the subject matter hereof and thereof. There are no promises, undertakings, representations or warranties by the First Lien Secured Parties or the Second Lien Secured Parties relative to the subject matter hereof and thereof not expressly set forth or referred to herein or therein. In the event of any conflict between the provisions of this Agreement and the provisions of the First Lien Documents or the Second Lien Documents, the provisions of this Agreement shall govern and control.

This Agreement, together with the First other Parity Lien Documents and the Second Parity Lien Documents represent Collateral Documents, represents the entire agreement of each of the Grantors, the First Lien Secured Parties Grantors and the Second Parity Lien Secured Parties Claimholders with respect to the subject matter hereof and thereof, thereof and supersede supersedes any and all previous agreements and understandings, oral or written, relating to the subject matter hereof and thereof. There are no promises, undertakings, representations or warranties by the First any Representative, Collateral Agent or Parity Lien Secured Parties or the Second Lien Secured Parties Claimholder relative to the subject matter hereof and thereof not expressly set forth or referred to herein or therein. In the event of any conflict between the provisions of this Agreement and the provisions of the First Parity Lien Documents or the Second Lien Documents, the provisions of this Agreement shall govern and control.
