Integration and Conflicts Clause Samples
Integration and Conflicts. This Agreement and any special terms and conditions appended hereto at the time of execution of this Agreement, shall constitute the entire, integrated agreement of the parties hereto with respect to the matters addressed herein. This Agreement, and each and every term and condition, may be added to or amended only by the mutual written agreement of the parties as permitted in Section 18, which amendment or modification shall be executed with the same formalities as this Agreement shall have been executed. Special terms and conditions, if any, which are agreed upon by the parties hereto at the time this Agreement is executed, shall be reduced to writing in accordance with Section 13. If the provisions of any deed, lease, agreement, contract, note, mortgage, security agreement, Site Plans or other document between the parties hereto conflicts with the provisions of this Agreement, the provisions of this Agreement shall control.
Integration and Conflicts. This Amendment, together with the Agreement, constitutes the entire understanding and agreement by and among the Parties hereto, and supersedes all prior agreements, representations, or understandings by and among them, whether written or oral, pertaining to the subject matter hereof. If a conflict arises between the terms and conditions of this Amendment and the Agreement, the terms and conditions of this Amendment shall control over the Agreement.
Integration and Conflicts. If the provision of any lease, agreement, contract, note, mortgage, security agreement, or other document between the Contractor and the Contractor or any other third party entity (other than the City) conflicts with the provision of this Agreement, the provisions of this Agreement shall control.
Integration and Conflicts. This Agreement, including any Orders, constitutes the entire agreement of the Parties on its subject matter and supersedes all prior and contemporaneous representations, proposals, discussions, and communications. This Agreement excludes, and no pre-printed, standard, or posted terms and conditions in an ordering instrument, PO or invoice shall add to or vary its terms. To the extent of any conflict between the terms of this Agreement and the terms of an Order, the terms of the Order shall control, but only for purposes of such Order.
