Common use of Instruments of Transfer from the Angel Investors Clause in Contracts

Instruments of Transfer from the Angel Investors. The Company shall have received from each Angel Investor a duly executed instrument of transfer in favor of the Cherubic Purchasers for the Series Seed Preferred Shares to be sold by such Angel Investor at the Closing. For the avoidance of doubt, this condition of the Company’s obligation at the Closing shall only be applicable to the closing of the purchase and sale of the Purchased Series Seed Preferred Shares pursuant to Section 2.2(iii), and not the closing of the purchase and sale of any other Purchased Shares.
