Instruments of Release Clause Samples

The "Instruments of Release" clause defines the formal documents or actions required to officially release a party from certain obligations or claims under an agreement. Typically, this clause specifies the type of release instrument to be executed, such as a signed release form or a deed, and may outline the conditions under which the release becomes effective, like upon completion of payment or fulfillment of contractual duties. Its core practical function is to ensure that the release of obligations is properly documented and legally enforceable, thereby preventing future disputes over whether a party has been fully discharged from their responsibilities.
Instruments of Release. Unless an Event of Default has occurred and is continuing, the Administrative Agent shall, at the request and expense of the Borrower and without the need for any consent or approval by the Lenders, execute and deliver an instrument of release to evidence any release of a Guaranty described in this Section 5.10 in a form reasonably acceptable to the Borrower and the Administrative Agent.
Instruments of Release. Lessee shall execute and deliver to Lessor such instruments of release and termination of this Lease as to the Aircraft, in form suitable for recording at the FAA Aircraft Registry and other public offices, as Lessor may reasonably request, to make clear upon public records that the Aircraft is free and clear of all rights of Lessor and Lessee to the Aircraft under this Lease.
