Make best efforts to maintain a high level of expertise in the use of the Education Products among Authorized Users by offering courses, encouraging attendance at the annual Education Summit @ Esri UC and the Esri User Conference, and making use of self-paced e-Learning courses offered by Esri, as appropriate. e. Inform Authorized Users that their use of the Education Products is subject to the use restrictions in this Agreement and the terms and conditions of the Master Agreement, including, but not limited to, all applicable US government export laws and regulations. f. Implement reasonable processes to ensure that Authorized Users remove the Education Products from their personal computers upon leaving Institution.
INSTITUTION'S RESPONSIBILITIES. During the term of this Agreement, each of CUTS and KCL (or their designates) shall: (a) transfer to Acorda all relevant and material information and data (except grant applications) in its possession and generated by the Inventors directly relating to the inventions claimed in the Licensed Patents, except to the extent such transfer is prevented by confidentiality obligations or other limitations pursuant to agreements or understandings between each of CUTS and KCL, respectively, and a Third Party, and Acorda shall have the right to use such information and data for the protection and exploitation of the Licensed Patents, including but not limited to the development and commercialization of products covered by the Licensed Patents, in accordance with its rights under the Agreement; and (b) have the right to review and comment on the design and implementation of any Clinical Trial to be performed by Acorda and/or its Affiliates relating to any Licensed Enzyme Product or Licensed Small Molecule Inhibitor Product, provided that Institutions shall be bound by typical confidentiality restrictions with respect to any information disclosed by Acorda relating thereto.

INSTITUTION'S RESPONSIBILITIES. The Institution is committed to providing a quality educational experience to the trainees in an environment that encourages and promotes a scholarly environment. This environment is characterized by appropriate supervision by the attending teaching staff and adequate on-call facilities. In addition, residents are provided a meal allowance for each night they take call in the hospital and are provided three labs coats upon appointment and replacements as needed each subsequent year. Coats are available through the Office for Graduate Medical Education. The Resident Manual (▇▇▇▇://▇▇▇.▇▇▇▇.▇▇▇▇▇▇▇▇▇.▇▇▇/SMD/gme/office.html) provides detailed information regarding all policies and procedures including those on Physician Impairment and Substance Abuse, Moonlighting, Duty Hours, Disciplinary Procedures and Appeals Policy, Adjudication of resident complaints and grievances related to the work environment or issues related to the program or faculty, Information relating to access to eligibility for certification by the relevant certifying board, Harassment, Residency Closure/Reduction, Restrictive Covenants, and Accommodation for Disabilities. These policies and procedures can be amended at any time. PROFESSIONAL ACTIVITIES OUTSIDE OF PROGRAM: Professional activities outside the training programs (moonlighting) are prohibited to the extent that they may interfere with training program responsibilities. Each department has its own policy on outside activities. All require the chairman and program director's prior approval. The same professional liability insurance policy covers training and Strong Health moonlighting activities. Residents should seek written assurance of malpractice and workers' compensation coverage from any outside employer, and must have a valid New York State medical license and Federal DEA number prior to seeking such employment. Hours engaged in such activities must be reported to the program director and must be added to the trainee’s program hours. The total hours must comply with the number of hours a trainee may work as detailed in the New York State Health Code Section 405 and by the ACGME. CONDITIONS OF REAPPOINTMENT: All appointments (contracts) are for a period of one year. Residents may be reappointed for each subsequent year of training contingent upon the resident’s satisfactory completion of the previous post-graduate year. INSTITUTION'S RESPONSIBILITIES. (1) The Institution will use its best efforts to see that Students selected for participation in the Program are prepared for effective participation in the training phase of their overall education. The Institution will retain ultimate responsibility for the education of its Students. (2) Prior to the commencement of any Student’s participation in the Program, the Institution will all appropriate written waivers and consents including, but not limited to, those required by the Family Educational Rights and Privacy Act, 20 U.S.C. Section 1232g(b)(2)(B), so as to permit a full and free exchange of information between FCBOH officials with such Student’s academic records as will adequately disclose Students’ prior education and related experiences of prospective Student participants. (3) The Institution will use its best efforts to see that the Program at FCBOH is conducted in such a manner as to enhance FCBOH client care. Only those Students who have satisfactorily completed the prerequisite didactic portion of their curriculum will be selected for participation in the Program. (4) The Institution will not assign any Faculty member to the FCBOH in connection with the operation of the Program who is not appropriately licensed or certified, and will keep evidence of the licensure or certification of all assigned Faculty members on file with the FCBOH at all times.

Institution may choose to provide Personal Information to Microsoft on behalf of third parties (including Institution’s Users) and Institution consents to Microsoft’s use of the Personal Information for purposes of administrating this Agreement, the Program and to provide Program Benefits. Institution represents and warrants that it will comply with any applicable law to provide notices to or obtain permissions from any such individuals to allow sharing of their Personal Information with Microsoft for this purpose. Institution must provide its Users with a link to or enrollment code for its Users to access the online Program Benefit for the first time. As required by COPPA or other similar laws, Institution, and not Microsoft, must first obtain verifiable parental consent to collect information and open an account for all individuals under the age of 18 to access and use any online Program Benefit before Institution is authorized to provide any potential User with access to any online Program Benefit, or a link to or enrollment code for the online Program Benefit. Institution will obtain any required consents and will not allow Personal Information to be collected in jurisdictions where such collection is contrary to applicable law. Institution may not sell, sublicense, transfer or assign any Program Benefit.Institution will only use qualified Instructors who have in-depth knowledge of and experience with the Microsoft technology that is the subject of the training class. Institution will only provide Instructor Content to Instructors. Institution may not deliver more than fifteen (15) hours per week of training using MOC titles. Institution is not required to use Courses when it provides training under the Microsoft IT Academy Program member brand; however, where available in the local language, Courses should represent the foundation of the courseware used for delivering training under the Microsoft IT Academy Program member brand. INSTITUTION'S RESPONSIBILITIES a. Institution’s initial selections for network (U.S.; Global) and role (Home; Host) are indicated in Addendum A, which is hereby incorporated by reference. Institution may change its network and role selections through its administrator by completing the appropriate form for the VSLO team, provided Institution meets the requirements for such role or network as determined by the AAMC. b. If serving as a Host Institution, Institution shall i. provide Opportunity Information through VSLO; and ii. timely process any applications received through VSLO. c. If serving as a Home Institution, Institution shall i. upload Applicant rosters to VSLO and select appropriate permissions for each Applicant; and ii. timely review and release applications, as appropriate.
