Institutional Representations Sample Clauses
Institutional Representations. In an engagement to apply agreed-upon procedures to certain financial and other information of the institution, the independent accountant shall obtain written representations from the institution’s management. These representations may be tailored to cover specific assertions and matters unique to the intercollegiate athletics department (e.g., completeness of the schedule of intercollegiate athletics activities, institutional compliance with NCAA legislation and a listing of all known affiliated and outside organizations reported to the independent accountant).
Institutional Representations. Each Institution represents to the other Institution as of the earlier of the Execution Date or the Effective Date of this Agreement that:
A. Duly organized. Such Institution is duly organized, validly existing, and in good standing in the jurisdiction of its organization.
