Institution Responsible. Institution shall be fully and solely responsible for any and all liabilities, expenses and arising from third party claims, actions, and lawsuits for property damage, personal injury or death arising directly or indirectly from the Institution’s, Institution’s employees’ (including Investigator and Study Personnel) or Institution’s subcontractors’, agents’ or affiliates’: (a) willfulness, negligence or misconduct under this Agreement; (b) breach of any covenant, representation, or warranty under this Agreement;
