Common use of Inspection; Lender Meeting Clause in Contracts

Inspection; Lender Meeting. Lessee will, and will cause its Subsidiaries to, permit any authorized representatives designated by Lessor, Agent or any Lender to visit and inspect any of the properties of Lessee or any of its Subsidiaries, including the Aircraft or any part thereof and any Engine, and its and their financial and accounting records, and to make copies and take extracts therefrom, and to discuss its and their affairs, finances and accounts with its and their officers and independent public accountants (provided that Lessee may, if it so chooses, be present at or participate in any such discussion), all upon reasonable notice and at such reasonable times during normal business hours and as often as may be reasonably requested; provided that so long as no Lease Event of Default shall have occurred and be continuing, such inspection shall not be disruptive to Lessee's business, as reasonably determined by Lessee. Without in any way limiting the foregoing, Lessee will, upon the request of Lessor or Agent, participate in a meeting of Agent and Lenders once during each fiscal year to be held at Lessee's corporate offices (or such other location as may be agreed to by Lessee, Lessor and Agent) at such time as may be agreed to by Lessee, Lessor and Agent.

Lessee willCompany shall, and will shall cause each of its Subsidiaries to, permit the Administrative Agent and any authorized representatives designated by Lessor, Agent or any Lender to visit and inspect any of the properties of Lessee Company or any of its Company's Subsidiaries, including the Aircraft or any part thereof and any Engine, and its and their financial and accounting records, and to make copies and take extracts therefrom, and to discuss its and their affairs, finances and accounts with its and their officers and independent public accountants (provided that Lessee may, if it so chooses, Company may be present at or participate in any such discussion), all these discussions upon reasonable advance notice and at such reasonable times during normal business hours and as often as may be reasonably requested, provided, further, that each Lender shall coordinate with -------- the Administrative Agent the frequency and timing of any such visits, inspections and discussions so as to reasonably minimize the burden imposed on Company and its Subsidiaries; provided that so long as no Lease still further that, unless an Event of -------- Default has occurred, no single Lender shall have occurred and be continuing, such entitled to more than one inspection shall not be disruptive to Lessee's business, as reasonably determined by Lesseeduring any twelve month period. Without in any way limiting the foregoing, Lessee Company will, upon the reasonable request of Lessor or the Administrative Agent, participate in a meeting of the Administrative Agent and the Lenders once during each fiscal year Fiscal Year to be held at LesseeCompany's corporate offices (or such other location as may be agreed to by Lessee, Lessor Company and the Administrative Agent) at such time as may be agreed to by Lessee, Lessor Company and the Administrative Agent.
