Common use of Injunctions or Restraints on Conduct of Business Clause in Contracts

Injunctions or Restraints on Conduct of Business. No temporary restraining order, preliminary or permanent injunction or other order issued by any court of competent jurisdiction or other legal or regulatory restraint provision limiting or restricting any LOT 6 Entities’ conduct or operation of the business of any of the LOT 6 Entities following the Share Exchange shall be in effect, nor shall any proceeding brought by an administrative agency or commission or other Governmental Authority, domestic or foreign, seeking the foregoing be pending.

Injunctions or Restraints on Conduct of Business. No temporary restraining order, preliminary or permanent injunction or other order issued by any court of competent jurisdiction or other legal or regulatory restraint provision significantly limiting or restricting any LOT 6 Entities’ conduct or operation of the business of any of the LOT 6 Entities Seller following the Share Exchange Closing or seeking to restrain in any fashion the transactions contemplated by this Agreement, shall be in effect, nor shall any proceeding brought by an administrative agency or commission or other Governmental Authoritygovernmental entity, domestic or foreign, seeking the foregoing be pending.

No temporary restraining order, preliminary or permanent injunction or other order issued by any court of competent jurisdiction or other legal or regulatory restraint provision limiting or restricting any LOT 6 EntitiesCompany’s or its Subsidiaries’ conduct or operation of the business of any of the LOT 6 Entities Company and its Subsidiaries following the Share Exchange Redomestication Merger shall be in effect, nor shall any proceeding brought by an administrative agency or commission or other Governmental AuthorityEntity, domestic or foreign, seeking the foregoing be pending.

No temporary restraining order, preliminary or permanent injunction or other order issued by any court of competent jurisdiction or other legal or regulatory restraint provision limiting or restricting any LOT 6 Entities’ Honesty Group’s conduct or operation of its business or the business of any of the LOT 6 Entities Business following the Share Exchange shall be in effect, nor shall any proceeding brought by an administrative agency or commission or other Governmental AuthorityEntity, domestic or foreign, seeking the foregoing be pending.

Injunctions or Restraints on Conduct of Business. No temporary restraining order, preliminary or permanent injunction or other order issued by any court of competent jurisdiction or other legal or regulatory restraint provision limiting or restricting any LOT 6 Entities’ Acquiror’s ownership, conduct or operation of the business of Business (as currently conducted by Company) following the Closing shall be in effect nor shall there be pending or threatened any Legal Proceeding seeking any of the LOT 6 Entities following foregoing, or any other injunction or restraint in connection with the Share Exchange shall be in effect, nor shall any proceeding brought by an administrative agency Mergers or commission or the other Governmental Authority, domestic or foreign, seeking the foregoing be pendingtransactions contemplated hereby.

No temporary restraining order, preliminary or permanent injunction or other order issued by any court of competent jurisdiction or other legal or regulatory restraint provision limiting or restricting any LOT 6 Entities’ Acquiror’s ownership, conduct or operation of the business of the Company and/or any of the LOT 6 Entities Subsidiary following the Share Exchange Effective Time shall be in effect. There shall not be pending or threatened any suit, nor shall any action or proceeding brought by an administrative agency or commission or other any Governmental Authority, domestic or foreign, Entity seeking the foregoing be pendingany Divestiture.

There shall not be pending or threatened any suit, nor shall any action or proceeding brought by an administrative agency or commission or other any Governmental Authority, domestic or foreign, Entity seeking any of the foregoing be pendingor any Antitrust Restraint.
