Common use of Initial Term/Automatic Renewal Clause in Contracts

Initial Term/Automatic Renewal. The initial term of this Agreement shall commence on the Effective Date and shall continue until the fifth anniversary of the Service Commencement Date (the “Initial Term”), unless earlier terminated in accordance with the provisions of this Article 11. THIS AGREEMENT SHALL BE AUTOMATICALLY EXTENDED FOLLOWING THE INITIAL TERM FOR ADDITIONAL, SUCCESSIVE 3-YEAR TERMS (EACH, A “RENEWAL TERM”), UNLESS CITADEL GIVES WRITTEN NOTICE OF TERMINATION AT LEAST TWELVE (12) MONTHS PRIOR TO THE END OF THE THEN-CURRENT TERM. comScore shall provide written notice to Citadel sixteen (16) months prior to the end of the Initial Term and each Renewal Term if Citadel shall not have previously provided written notice to comScore of its intent to terminate the Agreement prior to such dates. The Initial Term and Renewal Terms are collectively referred to herein as the “Term.”
