Common use of Initial Procedures Clause in Contracts

Initial Procedures. The parties shall make all reasonable efforts to resolve all disputes without resorting to litigation. If a dispute arises between the parties, the JOC Representatives will attempt to reach an amicable resolution. If either JOC Representative determines that an amicable resolution cannot be reached, such JOC Representative shall submit such dispute in writing to the Management Representatives, who shall use their best efforts to resolve it or to negotiate an appropriate modification or amendment.

If a dispute arises between the partiesparties regarding the determination of the appropriate response to a change in technology, cost or services pursuant to Section 2.6 hereof (“Market Conditions Dispute”), the JOC Representatives will attempt to reach an amicable resolution. If either JOC Representative determines that an amicable resolution cannot be reachedreached to a Market Conditions Dispute, such JOC Representative shall submit such dispute in writing to the each party’s Management Representatives, who shall use their best efforts to resolve it or to negotiate an appropriate modification or amendment.
