Common use of Initial Members and Initial Capital Contributions Clause in Contracts

Initial Members and Initial Capital Contributions. The initial Members of the Company are Sinoven and NatureWorks. On a date mutually-agreed by the Members, within five (5) days of the later of the execution of this LLC Agreement and the formation of the Company, Sinoven and NatureWorks will make the Initial Capital Contributions set forth in Schedule 4.1. In return for these Initial Capital Contributions, Sinoven and NatureWorks will acquire the Membership Interests in the Company set forth in Schedule 4.1. Membership Interests are personal to each Member and, except as otherwise set forth in this LLC Agreement, do not give any Member any rights in the Property.
