Common use of Initial Knowledge Transfer Clause in Contracts

Initial Knowledge Transfer. (a) In order to enable Genentech to fulfil its obligations as set forth in this Agreement and the Ancillary Agreements, respectively, the Parties have agreed to an initial knowledge transfer of documents and other Know-How set forth in Schedule 2.19.1(a) attached hereto (“BioNTech Initial Knowledge Transfer Items”). BioNTech shall, and shall cause its Affiliates to, at BioNTech’s sole cost and expense, disclose such Know-How and transfer true and complete and accurate copies of all documents within the BioNTech Initial Knowledge Transfer Items to Genentech, within [***] days, as applicable in accordance with Schedule 2.19.1(a), of the Effective Date.
