Common use of Initial Determination Clause in Contracts

Initial Determination. Within sixty (60) days after the Closing Date, the Buyer will prepare in good faith and deliver to the Seller Members’ Agent a certificate (the “Purchase Price Certificate”) executed by the Buyer setting forth (i) an itemized listing of the Closing Cash and the Closing Working Capital, and (ii) the Buyer’s calculation of the Purchase Price based thereon.
