Initial Costs. The Company shall pay to the Facility Agent an amount equal to all reasonable costs and expenses, including reasonable legal fees and any applicable VAT incurred by the Agents and/or the Arranger in connection with the negotiation, preparation and execution of this Agreement and the Security Documents, subject to agreed limits.
