Initial Contract Amount. CITY agrees to pay CONTRACTOR the amounts set forth in the Scope of Services, not to exceed Four Million Four Hundred Thirty-Two Thousand Eight Hundred Forty-Three Dollars ($4,432,843) in the aggregate for the twelve-month period of the Second Renewal and Modification, subject to the following provisions.
Initial Contract Amount. CITY agrees to pay CONTRACTOR the amounts set forth in the Scope of Services, not to exceed Ten Million Eight Hundred Seventeen Thousand Four Hundred Sixty-Eight Dollars ($10,817,468) in the aggregate for the twelve-month period of the Third Renewal and Modification, subject to the following provisions. Coronavirus Aid, Relief, and Economic Security Act funds (hereinafter “CARES Funds”) will be used for the expansion of the Services City wide, as described in Exhibit “A”. CITY and CONTRACTOR recognize that the use of these CARES Funds for City wide expansion is contingent upon approval by the U.S. Department of Transportation (“USDOT”) and the U.S. Department of Labor (“USDOL”). CITY will notify CONTRACTOR upon the approval or denial by USDOT and USDOL of the use of the CARES Funds for City wide expansion of the Services. CITY shall not be held responsible or charged for any expenses CONTRACTOR incurs in preparation for the expansion of the Services prior to USDOT and USDOL approval. CONTRACTOR is solely responsible for any expenses CONTRACTOR incurs for expansion of the Services if the USDOT or USDOL denies use of the CARES Funds for these purposes, and CONTRACTOR shall not charge CITY for any such expenses incurred. If the USDOT and USDOL approve use of the CARES Funds for expansion of the Services, CONTRACTOR may charge expenses incurred for this purpose to CITY, and include those charges on future invoices.
