The written statements as to the underwriting commitment of the Underwriter and under the heading "Underwriting" in the Preliminary Prospectus or the Prospectus (to the extent such statements relate to the Underwriter) constitute the only information furnished by the Underwriter to the Company for the purposes of Section 7(b) hereof.
