Influence Change Event. As used herein "Influence Change Event" shall mean the occurrence of the loss by the Executive of any of the Board Positions or if the Executive's title, powers and duties within the Company or the Board of Directors of the Company have been diminished, in each case other than as a result of a Termination For Cause, without the prior written consent of the Executive.
