Common use of Independent Reserve Engineers Clause in Contracts

Independent Reserve Engineers. Xxxxx Xxxxx Company, L.P. (“Xxxxx Xxxxx”), who has prepared the reserve reports and estimates of proved reserves disclosed in the Registration Statement, the Pricing Disclosure Package and the Prospectus, has represented to the Company that they are, and the Company believes them to be, independent reserve engineers with respect to the Company and its subsidiaries within the applicable rules and regulations adopted by the Commission and as required by the Securities Act for the periods set forth in the Preliminary Prospectus and the Prospectus.

Independent Reserve Engineers. Xxxxx Xxxxx Company, L.P. (“Xxxxx Xxxxx”), who has prepared the reserve reports and estimates of proved reserves disclosed in the Registration Statement, the Pricing Disclosure Package and the Prospectus, has represented to the Company that they are, and the Company believes them to be, independent reserve engineers with respect to the Company and its subsidiaries Laredo Parties within the applicable rules and regulations adopted by the Commission and as required by the Securities Act for the periods set forth in the Preliminary Prospectus and the Prospectus.

(“Xxxxx Xxxxx”), who has prepared the reserve reports and estimates of proved reserves disclosed in the Registration Statement, the Pricing Disclosure Package and the ProspectusOffering Memorandum, has represented to the Parent and the Company that they are, and the Parent and the Company believes believe them to be, independent reserve engineers with respect to the Company and its subsidiaries the Guarantors within the applicable rules and regulations adopted by the Commission and as required by the Securities Act for the periods set forth in the Preliminary Prospectus and the ProspectusOffering Memorandum.
